	To be an authorized affiliate of WereHappy.com, you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the WereHappy.com service as an affiliate. By signing up for the WereHappy.com affiliate program, you indicate your acceptance of this agreement and its terms and conditions. 1. All Affiliates, contacts and payees must have reached the age of majority under applicable law where they reside and/or do business, and must be no younger than 18 years of age in any case. You represent and warrant that you have reached the age of majority under the laws of the state or locality where you reside and/or do business. 2. Only one account is allowed per company or organization unless prior approval has been granted directly by our administrators. 3. Additional programs may be introduced and will be governed by these Terms & Conditions. 4. We will pay you for signups to the program website(s) received from a banner(s), text link(s) or blind link(s) served from your website. 5. Encouraging membership termination or cancellation, or engaging in any other promotional activities which we deem fraudulent will subject your account to termination and forfeiture of any funds owed to you. 6. Affiliates that offer rewards, additional services, additional memberships to other sites, or money to surfers in exchange for a signup will have their account terminated. Webmasters, their relatives or employees signing up for a membership using their own link codes will have their account terminated and will not be paid. Affiliates that attempt to cheat, defraud or mislead us in any way will be terminated from our affiliate program. 7. Payments are sent on the 15th for prior months sales/joins. of the previous month. You will only be paid if your account balance is at or above the minimum payout set by us or requested by you. In the event that the scheduled payment date falls on a weekend or federal holiday, payments will be issued the following business day. 8. E-mail spamming is strictly prohibited. This includes e-mail spamming, newsgroups, and IRC. If you violate this term of your agreement you will be terminated from the program and will not be paid. 9. The action of sending any hits from any URLs which contain and/or promote the following content, programs or linking practices will result in the immediate cancellation of the account from which the hits were sent and the forfeiture of any funds owed that account: child pornography, bestiality, and spam. 10. You are an independent contractor, and nothing in this Agreement will create any partnership, join venture, franchise, or employment relationship between you and us. You have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this section. You are not an agent of the Program, and we expressly disclaim responsibility for any conduct by you in violation of this Agreement. 11. We will not be held responsible for loss due to downtimes resulting from complications with our hosting equipment, technical errors or any other unforseeable circumstances. 12. Our files will prevail in determining all statistics including but not limited to the amount of valid hits, signups, referrals, cancellation, credits and any commissions or referral fees owed to any Affiliate pursuant to this Agreement. Any discrepancies or errors must be brought to our attention within 30 days or they will be deemed permanently waived. 13. We reserve the right to cancel this program at any time, without prior notification. In such cases you will be notified immediately and paid for ALL accumulated funds up to that point in time, except in cases where it is determined you have cheated by violating this agreement. 14. We make no representations regarding the amount of income you can or will generate by promoting our products. Individual results vary. 15. We reserve the right to deny any prospective sponsor admittance into our program for any reason, based on the content of their website or for any other reason. 16. All monies are paid by in U.S. dollars. 17. The term of this Agreement will begin upon our acceptance of your application to join the Program, and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party notice of termination. Notice sent to your email address (as listed in our records) is considered sufficient notice of termination of the Agreement. If the Agreement is terminated because you have violated any of the terms of the Agreement, any balance in your account will be forfeited. We reserve the right to withhold your final payment for a reasonable time to ensure that the correct amount is paid. 18. These terms and conditions are subject to change without notice. While we may make reasonable efforts to notify you of substantive changes to this agreement, It is your responsibility to check this page regularly to ensure that any changes are noted. 19. Any memberships found to be fraudulent, can and will be linked to the affiliate account referring the membership and credit will be revoked for said membership.
